Amtsgericht Landau in der Pfalz INSOLVENZGERICHT Beschluss 3 IN 86/26 06.08.2026 In dem Verfahren zur Eröffnung des Insolvenzverfahrens über das Vermögen d. RGF Eiscafe GmbH, Maximilianstraße 1, 76744 Wörth am Rhein (AG Landau in der Pfalz, HRB 32793), vertreten durch: […] hat das Amtsgericht - Insolvenzgericht Landau in der Pfalz durch die Richter am Amtsgericht Wagner am 6.8.2026 beschlossen: Gegen d. Schuldner/in wird gemäß §§ 21, 22 InsO am 6.8.2026 , 14 :00 Uhr zur Sicherung der Masse und zum Schutz der Gläubiger angeordnet: 1. Zum vorläufigen Insolvenzverwalter wird Herr Rechtsanwalt […] in der Pfalz, Tel.: 06341-144831, Fax: 06341-144832 bestellt. 2. Verfügungen d. Schuldner/in über ihr/sein Vermögen sind nur noch mit Zustimmung wirksam (§ 21 Abs. 2 Nr. 2 InsO). 3. Der vorläufige Insolvenzverwalter ist nicht der allgemeine Vertreter d. Schuldner/in. Er hat die Aufgabe, durch Überwachung d. Schuldners/in deren/dessen Vermögen zu sichern und zu erhalten. Die Begründung von Masseverbindlichkeiten zum Schutze der Verfahrensbeteiligten sowie aus Gründen der Rechtsklarheit bedarf der Einzelermächtigung. 4. Den Drittschuldnern wird verboten, an d. Schuldner/in zu zahlen. Der vorläufige Insolvenzverwalter wird ermächtigt, Bankguthaben und sonstige Forderungen d. Schuldners/in einzuziehen sowie eingehende Gelder entgegenzunehmen. Die Drittschuldner werden aufgefordert, nur noch unter Beachtung dieser Anordnung zu leisten (§ 23 Abs. 1 Satz 3 InsO). 5. Maßnahmen der Zwangsvollstreckung einschließlich der Vollziehung des Arrestes oder einstweiliger Verfügungen gegen d. Schuldner/in werden untersagt, soweit nicht unbewegliche Gegenstände betroffen sind; bereits begonnene Maßnahmen werden einstweilen eingestellt (§ 21 Abs. 2 Nr. 3 InsO). 6. Der vorläufige Insolvenzverwalter soll gem. § 22 Abs. 2 InsO a) das Vermögen d. Schuldner/in sichern und erhalten; b) ein Unternehmen, das d. Schuldner/in betreibt, bis zur Entscheidung über die Eröffnung des Insolvenzverfahrens mit d. Schuldner/in fortführen, soweit nicht das Insolvenzgericht einer Stilllegung zustimmt, um eine erhebliche Verminderung des Vermögens zu vermeiden. 7. Die Verfügungsbefugnis über bestehende Arbeitsverhältnisse obliegen weiterhin d. Schuldner/in; die Begründung, Änderung und Beendigung bestehender Arbeitsverhältnisse bedürfen der Zustimmung des vorläufigen Insolvenzverwalters. 8. Es wird angeordnet, dass Gegenstände, die im Falle der Eröffnung des Verfahrens von § 166 InsO erfasst würden oder deren Aussonderung verlangt werden könnte, von den Gläubigern nicht verwertet oder eingezogen werden dürfen und dass solche Gegenstände zur Fortführung des Unternehmens d. Schuldner/in eingesetzt werden können, soweit sie hierfür von erheblicher Bedeutung sind; § 169 S. 2 und 3 InsO gilt entsprechend. 9. Der vorläufige Insolvenzverwalter ist berechtigt, die Geschäftsräume d. Schuldner/in zu betreten; d. Schuldner/in hat dem vorläufigen Insolvenzverwalter Einsicht in ihre Bücher und Geschäftspapiere zu gestatten. 10. D. Schuldner/in wird gem. §§ 20, 97 InsO aufgegeben, sich unverzüglich mit dem vorläufigen Insolvenzverwalter in Verbindung zu setzen und ihm a) ein vollständiges Vermögensverzeichnis nach Aktiva und Passiva geordnet, unter Angabe der jeweiligen Zeitwerte b) je ein Verzeichnis ihrer Gläubiger und Schuldner mit vollständigen Anschriften (keine Abkürzungen) unter Angabe der bestehenden Verbindlichkeiten bzw. Forderungen sowie des Grundes (z. B. Kaufvertrag, Darlehen, usw.), vorzulegen. D. Schuldner/in wird darauf aufmerksam gemacht, dass sie die Richtigkeit dieser Angaben an Eides statt zu versichern hat, wenn das Insolvenzgericht dieses zur Herbeiführung wahrheitsgemäßer Angaben für erforderlich hält (§ 98 Abs. 1 InsO). Auf die Strafbarkeit einer falschen eidesstattlichen Versicherung wird hingewiesen (§ 156 Strafgesetzbuch). 11. Die Anordnung der vorläufigen Verwaltung erfolgt von Amts wegen. Die Anordnung war notwendig, um bis zur Entscheidung über den Antrag eine für die Gläubiger nachteilige Veränderung der Vermögenslage d. Schuldner/in zu verhindern oder nachteilige Handlungen aufzuklären. 12. Der vorläufige Insolvenzverwalter wird ermächtigt, ein Insolvenzsonderkonto als Konto für die künftige Insolvenzmasse zu eröffnen. Rechtsmittelbelehrung Diese Entscheidung kann von dem Schuldner mit der sofortigen Beschwerde angefochten werden. Darüber hinaus kann, wenn nach Art. 5 Abs. 1 der Verordnung (EU) 2015/848 das Fehlen der internationalen Zuständigkeit für die Eröffnung des Hauptinsolvenzverfahrens gerügt werden soll, die sofortige Beschwerde auch von jedem Gläubiger eingelegt werden. Sie ist innerhalb einer Notfrist von 2 Wochen bei dem Amtsgericht Landau in der Pfalz, Marienring 13, 76829 Landau in der Pfalz; Elektronisches Gerichts- und Verwaltungspostfach: safe-sp1-1436793743928-015871183 einzulegen. Die Frist beginnt mit der Zustellung bzw. mit der Verkündung der Entscheidung. Soweit die Zustellung durch öffentliche Bekanntmachung erfolgt ist, beginnt sie, sobald nach dem Tage der Veröffentlichung zwei weitere Tage verstrichen sind. What an asset deal actually carries

Buying out of an insolvency estate is an asset deal: you buy individual assets and rights, not the company. This is the checklist experienced buyers work through before they bid. We do not hold the answers for this proceeding — they come from the administrator.

  • Which assets already belong, economically, to somebody else?

    Not known — ask the administrator

    Retention of title, security assignment and leasing are the most common reason the machine in the photo is not part of the sale. The administrator may only realise what belongs to the estate (§§ 47, 51 InsO). Ask for the list of third-party claims before you value anything.

  • Are the premises part of the estate, or does everything hang on the landlord?

    Not known — ask the administrator

    With leased premises the landlord decides whether the lease transfers to you. For a location-bound business, a site you may not keep IS the deal. Establish ownership, remaining term, termination rights and the landlord's consent — in writing, before you bid.

  • Are the permits attached to the business or to a person?

    Not known — ask the administrator

    Licences, hospitality permits, Handwerksrolle registration, § 34c GewO permits, healthcare and transport approvals: some transfer with the business, others are attached to a natural person and lapse with them. For a regulated trade, a permit matrix is the first step, not the last.

  • Who actually owns the brand, the domain, the shop and the customer data?

    Not known — ask the administrator

    Domains are frequently registered to a shareholder or an agency rather than to the company, and trademarks are sometimes licensed in from a holding entity. Without the domain and the mark you are buying inventory, not a business. Customer data needs a separate data-protection assessment — a customer base is not a chattel.

    Taking over a business or part of one means stepping into the existing employment contracts, insolvency or not. What insolvency changes is liability for OLD obligations: for claims that arose before the proceeding opened, settled BAG case law says the buyer does not carry them. The social plan is capped by § 123 InsO at 2.5 monthly salaries per employee, and at one third of the estate that would otherwise be distributed. Model headcount × monthly salary × 2.5 as the ceiling, then test the one-third limit against the estate.

  • Which contracts does the business need in order to still run on Monday?

    Not known — ask the administrator

    Under § 103 InsO the administrator elects whether to perform contracts neither side has completed, and in an asset deal customer and supplier contracts transfer only with the counterparty's consent. Ask which five contracts the business cannot run without — ERP, payment provider, fulfilment, key supplier, key customer — and settle novation before closing.

Why buying from the estate is cleaner than an ordinary acquisition

  • § 75(2) AO — the successor's liability for the predecessor's business taxes expressly does not apply to an acquisition out of an insolvency estate. Buying a healthy company, that is one of the largest risks you carry.
  • § 25 HGB — successor liability on continuing the trade name is routinely excluded on an acquisition from the estate, and on the prevailing view does not attach in the first place; put the exclusion in the contract regardless.
  • Pre-opening employment liabilities do not travel with the buyer under settled BAG case law — the running business transfers, the debts stay in the estate.
