Forderungen der Insolvenzgläubiger sind bis zum 12.08.2026 unter Beachtung des § 174 InsO beim Insolvenzverwalter anzumelden. Die Gläubiger werden aufgefordert, dem Insolvenzverwalter unverzüglich mitzuteilen, welche Sicherungsrechte sie an beweglichen Sachen oder an Rechten der Schuldnerin in Anspruch nehmen. Der Gegenstand, an dem das Sicherungsrecht beansprucht wird, die Art und der Entstehungsgrund des Sicherungsrechts sowie die gesicherte Forderung sind zu bezeichnen. Wer diese Mitteilungen schuldhaft unterlässt oder verzögert, haftet für den daraus entstehenden Schaden (§ 28 Abs. 2 InsO). Wer Verpflichtungen gegenüber der Schuldnerin hat, wird aufgefordert, nicht mehr an diese zu leisten, sondern nur noch an den Insolvenzverwalter. Eine Gläubigerversammlung wird vorerst nicht einberufen. Das Verfahren wird schriftlich durchgeführt (§ 5 InsO). Stichtag, der dem Berichts- und Prüfungstermin (§ 29, 156, 176 InsO) entspricht, ist der 24.09.2026. Bis zu diesem Zeitpunkt können die Gläubiger schriftliche Stellungnahmen bei Gericht einreichen - zur Person des Insolvenzverwalters, - zur Einsetzung, Besetzung und Beibehaltung des Gläubigerausschusses (§ 68 InsO), - zur Zwischenrechnungslegung gegenüber der Gläubigerversammlung (§ 66 Abs. 3 InsO), - zur Hinterlegungsstelle und zu den Bedingungen zur Anlage und Hinterlegung von Geld, Wertpapieren und Kostbarkeiten (§ 149 InsO), - zur Entscheidung über den Fortgang des Verfahrens (§ 157 InsO), - und gegebenenfalls zu besonders bedeutsamen Rechtshandlungen des Insolvenzverwalters (§ 160 InsO): - die Anhängigmachung, Aufnahme, Beilegung oder Vermeidung eines Rechtsstreits mit erheblichem Streitwert. Soweit zu besonders bedeutsamen Rechtshandlungen (§ 160 InsO) des Insolvenzverwalters bis zum Stichtag kein Widerspruch eines stimmberechtigten Gläubigers bei Gericht eingeht, so gilt die Zustimmung als erteilt (§ 160 Abs. 1 Satz 3 InsO). Die Tabelle mit den Forderungen und die Anmeldungsunterlagen sowie der Bericht des Insolvenzverwalters werden spätestens ab dem 26.08.2026 zur Einsicht der Beteiligten auf der Geschäftsstelle des Amtsgerichts Mönchengladbach, Nebenstelle, Hohenzollernstr. 155, 41061 Mönchengladbach, Zimmer Nr. C 207 niedergelegt. Ein schriftlicher Widerspruch, mit dem ein Beteiligter eine Forderung bestreitet, muss spätestens am Prüfungsstichtag bei Gericht eingehen. Im Widerspruch ist anzugeben, ob die Forderung nach ihrem Grund, ihrem Betrag oder ihrem Rang bestritten wird. Der Insolvenzverwalter wird beauftragt, die nach § 30 Abs. 2 InsO zu bewirkenden Zustellungen an die Schuldner der Schuldnerin (Drittschuldner) sowie an die Gläubiger durchzuführen (§ 8 Abs. 3 InsO). Gründe: Die internationale und örtliche Zuständigkeit des Amtsgerichts - Insolvenzgerichts - Mönchengladbach ergibt sich daraus, dass sowohl der Mittelpunkt der hauptsächlichen Interessen (COMI) im Sinne des Art. 3 Abs. 1 der Verordnung (EU) 2015/848 des Europäischen Parlaments und des Rates vom 20. Mai 2015 über Insolvenzverfahren als auch der Mittelpunkt der selbständigen wirtschaftlichen Tätigkeit im Sinne des § 3 Abs. 1 der InsO im hiesigen Bezirk liegen. Erkenntnisse über die Eröffnung eines Hauptinsolvenzverfahrens nach Art. 3 Abs. 1 EuInsVO über das Vermögen der Schuldnerin in einem anderen Mitgliedstaat der Europäischen Union liegen dem Gericht nicht vor. Rechtsmittelbelehrung: Gegen diesen Beschluss steht der Schuldnerin/dem Schuldner das Rechtsmittel der sofortigen Beschwerde gem. § 34 Abs. 2 InsO zu. Unbeschadet der oben stehenden Regelung steht der Schuldnerin/dem Schuldner und jedem Gläubiger gegen die Entscheidung nach Art. 3 Abs. 1 der Verordnung (EU) 2015/848 die sofortige Beschwerde zu, wenn nach Art. 5 Abs. 1 der Verordnung (EU) 2015/848 das Fehlen der internationalen Zuständigkeit für die Eröffnung eines Hauptinsolvenzverfahrens gerügt werden soll. Die sofortige Beschwerde ist bei dem […] schriftlich in deutscher Sprache oder zur Niederschrift der Geschäftsstelle einzulegen. Die Beschwerde kann auch zur Niederschrift der Geschäftsstelle eines jeden Amtsgerichtes erklärt werden. Die sofortige Beschwerde muss innerhalb von zwei Wochen bei dem Amtsgericht Mönchengladbach eingegangen sein. Dies gilt auch dann, wenn die Beschwerde zur Niederschrift der Geschäftsstelle eines anderen Amtsgerichtes abgegeben wurde. Die Frist beginnt mit der Verkündung der Entscheidung oder, wenn diese nicht verkündet wird, mit deren Zustellung. Zum Nachweis der Zustellung genügt auch die öffentliche Bekanntmachung. Diese gilt als bewirkt, sobald nach dem Tag der unter www.insolvenzbekanntmachungen.de erfolgten Veröffentlichung zwei weitere Tage verstrichen sind. Maßgeblich für den Beginn der Beschwerdefrist ist der frühere Zeitpunkt. Die sofortige Beschwerde muss die Bezeichnung des angefochtenen Beschlusses sowie die Erklärung enthalten, dass sofortige Beschwerde gegen diesen Beschluss eingelegt wird. Sie soll begründet werden. Hinweis zum elektronischen Rechtsverkehr: Die Einlegung ist auch durch Übertragung eines elektronischen Dokuments an die elektronische Poststelle des Gerichts möglich. Das elektronische Dokument muss für die Bearbeitung durch das Gericht geeignet und mit einer qualifizierten elektronischen Signatur der verantwortenden Person versehen sein oder von der verantwortenden Person signiert und auf einem sicheren Übermittlungsweg gemäß § 130a ZPO nach näherer Maßgabe der Verordnung über die technischen Rahmenbedingungen des elektronischen Rechtsverkehrs und über das besondere elektronische Behördenpostfach (BGBl. 2017 I, S. 3803) eingereicht werden. What an asset deal actually carries

Buying out of an insolvency estate is an asset deal: you buy individual assets and rights, not the company. This is the checklist experienced buyers work through before they bid. We do not hold the answers for this proceeding — they come from the administrator.

  • Which assets already belong, economically, to somebody else?

    Retention of title, security assignment and leasing are the most common reason the machine in the photo is not part of the sale. The administrator may only realise what belongs to the estate (§§ 47, 51 InsO). Ask for the list of third-party claims before you value anything.

  • Are the premises part of the estate, or does everything hang on the landlord?

    With leased premises the landlord decides whether the lease transfers to you. For a location-bound business, a site you may not keep IS the deal. Establish ownership, remaining term, termination rights and the landlord's consent — in writing, before you bid.

  • Are the permits attached to the business or to a person?

    Licences, hospitality permits, Handwerksrolle registration, § 34c GewO permits, healthcare and transport approvals: some transfer with the business, others are attached to a natural person and lapse with them. For a regulated trade, a permit matrix is the first step, not the last.

    Domains are frequently registered to a shareholder or an agency rather than to the company, and trademarks are sometimes licensed in from a holding entity.     Under § 103 InsO the administrator elects whether to perform contracts neither side has completed, and in an asset deal customer and supplier contracts transfer only with the counterparty's consent. Ask which five contracts the business cannot run without — ERP, payment provider, fulfilment, key supplier, key customer — and settle novation before closing.

Why buying from the estate is cleaner than an ordinary acquisition

  • § 75(2) AO — the successor's liability for the predecessor's business taxes expressly does not apply to an acquisition out of an insolvency estate. Buying a healthy company, that is one of the largest risks you carry.
  • § 25 HGB — successor liability on continuing the trade name is routinely excluded on an acquisition from the estate, and on the prevailing view does not attach in the first place; put the exclusion in the contract regardless.
  • Pre-opening employment liabilities do not travel with the buyer under settled BAG case law — the running business transfers, the debts stay in the estate.
