Amtsgericht Bersenbrück Beschluss 9 IN 64/26, 13.08.2026 In dem Insolvenzantragsverfahren über das Vermögen der anCos Verlag GmbH, Lange Straße 14, 49565 Bramsche (AG Osnabrück, HRB 18902), vertreten durch: […] - Antragstellerin - Verfahrensbevollmächtigter der Vertreterin zu 1.: Rechtsanwalt […], Kollegienwall 3-4, 49074 Osnabrück, wird gemäß §§ 21, 22 InsO zur Sicherung der Masse und zum Schutz der Gläubiger gegen die Antragstellerin am 13.08.2026 um 09.30 Uhr angeordnet: 1. Gemäß § 21 Abs. 2 S. 1 Nr. 1 InsO wird die vorläufige Verwaltung des Vermögens der Antragstellerin angeordnet. Zum vorläufigen Insolvenzverwalter wird bestellt: Rechtsanwalt […], c/o PLUTA Rechtsanwälte, Niedersachsenstr. 11 a, 49074 Osnabrück, Tel.: 0541-357447-0, Fax: 0541-357447-11, E-Mail: [email protected]. 2. Gemäß § 21 Abs. 2 S. 1 Nr. 2 InsO wird angeordnet, dass Verfügungen der Antragstellerin nur mit Zustimmung des vorläufigen Insolvenzverwalters wirksam sind. 3. Maßnahmen der Zwangsvollstreckung werden gem. § 21 Abs. 2 S. 1 Nr. 3 lnsO untersagt, bereits eingeleitete Maßnahmen werden einstweilen eingestellt - soweit nicht unbewegliche Gegenstände betroffen sind. 4. Der vorläufige Insolvenzverwalter wird ermächtigt, Bankguthaben und sonstige Forderungen der Antragstellerin einzuziehen sowie eingehende Gelder entgegenzunehmen. Den Schuldnern der Antragstellerin wird untersagt, an diese zu zahlen. Der vorläufige Insolvenzverwalter wird ermächtigt, auf den Namen der Antragstellerin oder auf seinen Namen in der Funktion als vorläufiger Insolvenzverwalter für die zukünftige Masse neue Sonderkonten zu eröffnen und über die Konten der Antragstellerin zu verfügen. Der vorläufige Insolvenzverwalter wird dazu ermächtigt, für die Kontoführung Verbindlichkeiten zu begründen, die nach der Eröffnung des Insolvenzverfahrens zu Masseverbindlichkeiten werden. 5. Der vorläufige Insolvenzverwalter wird mit der Durchführung der Zustellungen gemäß §§ 23 Abs. 1 S. 2, 21 Abs. 2 S. 1 Nr. 1, 8 Abs. 3 InsO beauftragt. 6. Der vorläufige Insolvenzverwalter soll a) das Vermögen der Antragstellerin sichern und erhalten b) ein Unternehmen, das die Antragstellerin betreibt, bis zur Entscheidung über die Eröffnung des Insolvenzverfahrens in Abstimmung mit der Antragstellerin fortführen; er soll dem Insolvenzgericht anzeigen, wenn eine Einstellung des Geschäftsbetriebs erforderlich erscheint oder die Antragstellerin diesen einstellt. 7. Der vorläufige Insolvenzverwalter ist berechtigt, die Geschäftsräume der Antragstellerin zu betreten; die Antragstellerin hat dem vorläufigen Insolvenzverwalter Einsicht in ihre Bücher und Geschäftspapiere zu gestatten. 8. Der vorläufige Insolvenzverwalter wird zusätzlich beauftragt, als Sachverständiger zu prüfen, ob ein Eröffnungsgrund vorliegt und ob das Vermögen zur Deckung der Kosten des Insolvenzverfahrens ausreicht (§ 22 Abs. 1 S. 2 Nr. 3, Abs. 2 InsO); außerdem ist zu prüfen, welche Aussichten für eine Fortführung des von der Antragstellerin betriebenen Unternehmens bestehen. Ferner soll der Sachverständige auch Angaben dazu machen, in welchem Zeitraum die materiell-rechtliche Insolvenzreife eingetreten ist und es sollen insolvenzspezifische Ansprüche dargestellt werden. 9. Die Verfügungsbefugnis über bestehende Arbeitsverhältnisse obliegt weiterhin der Antragstellerin; die Begründung, Änderung und Beendigung bestehender Arbeitsverhältnisse bedürfen der Zustimmung des vorläufigen Insolvenzverwalters. 10. Die Anordnung der vorläufigen Verwaltung erfolgt von Amts wegen. Die Anordnung ist notwendig, um eine Fortführung und den Erhalt des Betriebs der Antragstellerin zu ermöglichen. Rechtsmittelbelehrung Diese Entscheidung kann durch die Antragstellerin mit der sofortigen Beschwerde angefochten werden. Darüber hinaus kann, wenn nach Art. 5 Abs. 1 der Verordnung (EU) 2015/848 das Fehlen der internationalen Zuständigkeit für die Eröffnung des Hauptinsolvenzverfahrens gerügt werden soll, die sofortige Beschwerde auch von jedem Gläubiger eingelegt werden. Sie ist innerhalb einer Notfrist von 2 Wochen bei dem […] einzulegen. Die Frist beginnt mit der Zustellung bzw. mit der Verkündung der Entscheidung. Soweit die Zustellung durch öffentliche Bekanntmachung erfolgt ist, beginnt sie, sobald nach dem Tage der Veröffentlichung zwei weitere Tage verstrichen sind. Erfolgt die öffentliche Bekanntmachung neben der Zustellung ist für den Beginn der Frist das frühere Ereignis maßgebend. Die Beschwerde kann durch Einreichung einer Beschwerdeschrift bei dem o. g. Gericht eingelegt oder auch zu Protokoll der Geschäftsstelle eines jeden Amtsgerichts erklärt werden, wobei es für die Einhaltung der Frist auf den Eingang bei dem o. g. Gericht ankommt. Sie ist von dem Beschwerdeführer oder seinem Bevollmächtigten zu unterzeichnen. Die Beschwerde muss die Bezeichnung des angefochtenen Beschlusses sowie die Erklärung enthalten, dass Beschwerde gegen diesen Beschluss eingelegt wird. Buying out of an insolvency estate is an asset deal: you buy individual assets and rights, not the company. This is the checklist experienced buyers work through before they bid. We do not hold the answers for this proceeding — they come from the administrator.

  • Which assets already belong, economically, to somebody else?

    Not known — ask the administrator

    Retention of title, security assignment and leasing are the most common reason the machine in the photo is not part of the sale. The administrator may only realise what belongs to the estate (§§ 47, 51 InsO). Ask for the list of third-party claims before you value anything.

  • Are the premises part of the estate, or does everything hang on the landlord?

    With leased premises the landlord decides whether the lease transfers to you. For a location-bound business, a site you may not keep IS the deal. Establish ownership, remaining term, termination rights and the landlord's consent — in writing, before you bid.

  • Are the permits attached to the business or to a person?

    Not known — ask the administrator

    Licences, hospitality permits, Handwerksrolle registration, § 34c GewO permits, healthcare and transport approvals: some transfer with the business, others are attached to a natural person and lapse with them. For a regulated trade, a permit matrix is the first step, not the last.

  • Who actually owns the brand, the domain, the shop and the customer data?

    Domains are frequently registered to a shareholder or an agency rather than to the company, and trademarks are sometimes licensed in from a holding entity.     Under § 103 InsO the administrator elects whether to perform contracts neither side has completed, and in an asset deal customer and supplier contracts transfer only with the counterparty's consent. Ask which five contracts the business cannot run without — ERP, payment provider, fulfilment, key supplier, key customer — and settle novation before closing.

Why buying from the estate is cleaner than an ordinary acquisition

  • § 75(2) AO — the successor's liability for the predecessor's business taxes expressly does not apply to an acquisition out of an insolvency estate. Buying a healthy company, that is one of the largest risks you carry.
  • § 25 HGB — successor liability on continuing the trade name is routinely excluded on an acquisition from the estate, and on the prevailing view does not attach in the first place; put the exclusion in the contract regardless.
  • Pre-opening employment liabilities do not travel with the buyer under settled BAG case law — the running business transfers, the debts stay in the estate.
